Key Responsibilities
Our client, Odd Systems, is a Ukrainian defense technology company developing advanced thermal imaging systems and FPV drones. With offices in Ukraine, the US, and the EU, the company is rapidly expanding its international presence.
To support this growth, they are looking to strengthen their team with a Head of Legal to establish and lead the legal function across the group.

Establish and lead the in-house legal function aligned with business priorities.

Develop legal strategy, policies, and compliance frameworks across jurisdictions.

Design and implement international corporate structures and governance processes.

Set up and maintain corporate entities, shareholder agreements, and statutory filings.

Select, engage, and manage external legal counsel in Ukraine and abroad.

Prepare and oversee export control documentation under Ukrainian, EU, and US regulations.

Monitor regulatory changes and ensure timely adjustments to business processes.

Build and maintain internal processes for contract management and compliance.

Support R&D, procurement, and sales teams with practical legal solutions.

Develop and implement IP protection strategies (patents, trademarks, copyrights).

Provide legal advice and risk assessment to CEO and executive leadership.
Requirements

8–10 years of legal experience, including at least 3 years in a senior role.

Strong expertise in corporate structuring, M&A, and cross-border legal matters.

Experience in managing external counsel and cross-expertise teams.

Excellent drafting, negotiation, and problem-solving skills.

Fluency in Ukrainian and English (written and spoken).

Law degree from a recognized university.

Ability to work effectively in a fast-paced and dynamic environment.

High integrity, discretion, and strong interpersonal skills.

Proven track record with Ukrainian, EU, and US export control regimes.
Will be an advantage:

International legal qualifications.

Previous work in defence, aerospace, high-tech, or manufacturing sectors.

Experience designing international group structures across multiple jurisdictions.

Background in intellectual property management (patents, trademarks, copyrights)

Proven experience in export control compliance will be an advantage.
